These Terms of Service (“Terms”) govern your access to and use of the website at mycoach.health (the “Site”) and, except to the extent superseded by a written agreement as described in section 1, our clinical platform and product suite, including the Clinical Database, Data Capture Automation, the Patient Agent and the Clinical Research Agent (together with the Site, the “Services”). The Services are operated by Mycoach Health Limited (“Mycoach Health”, “we”, “us”), a company incorporated in Hong Kong with its principal place of business at Unit 539, Building 19W, Hong Kong Science Park, Hong Kong. By accessing or using the Services you agree to these Terms; if you do not agree, do not use them.
1. Agreements for the platform
Access to the platform products is normally provisioned under written agreements between Mycoach Health and the hospital, clinic or institution deploying them (each an “Institution”) — including order forms, data-processing and clinical-collaboration agreements. If such an agreement applies to your use, it prevails over these Terms to the extent of any conflict. These Terms otherwise apply to your use of the Services.
2. Changes to these Terms
We may revise these Terms from time to time. The date above shows when they were last revised; material changes will be highlighted on this page. Your continued use of the Services after a change takes effect constitutes acceptance of the revised Terms.
3. Use of the Services and accounts
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to: interfere with or disrupt the Services; attempt to gain unauthorised access to any system, account or data; scrape or bulk-extract content or data; introduce malware; or misrepresent your identity or affiliation. Platform accounts are personal to the authorised user provisioned by an Institution: keep your credentials secure and confidential, do not share access, and notify us promptly of any suspected unauthorised use. You are responsible for activity under your account, and you must not upload data for which you lack the necessary rights, authority or consents.
4. Professional use — no medical advice
The Site's content is general information about our company and products. Outputs of the platform — including AI-generated structuring, summaries, insights, reports and Patient Agent responses — are decision-support tools for qualified professionals: they supplement, and do not replace, professional clinical judgement, diagnosis or treatment, and must be reviewed by a qualified professional before clinical or research use. Nothing in the Services creates a doctor–patient relationship with Mycoach Health. The Services are not an emergency service: in a medical emergency, contact local emergency services immediately.
5. Clinical data and ownership
As between Mycoach Health and an Institution, the Institution retains all rights in the clinical and patient data processed through the platform on its behalf; we process that data in accordance with the relevant written agreements and our Privacy Policy. Mycoach Health and its licensors retain all rights in the Services, including software, models, interfaces, documentation and de-identified or aggregated learnings, except as expressly granted in writing.
6. Intellectual property
The content, design, logos and trademarks within the Services are owned by Mycoach Health or its licensors and are protected by law. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services as intended. You may not otherwise copy, reproduce, modify, distribute or create derivative works without our prior written consent, except as permitted by law. If you send us feedback, you grant us a perpetual, royalty-free licence to use it without restriction.
7. Availability and changes to the Services
We use reasonable efforts to keep the Services available, but do not guarantee uninterrupted or error-free operation; maintenance, updates and factors beyond our control may affect availability. We may improve or modify features of the Services, and may suspend access where reasonably necessary for security, legal compliance or breach of these Terms. Termination of platform access is governed by the relevant institutional agreement.
8. Third-party links and services
The Services may link to or interoperate with third-party websites and services (such as our contact-form provider), which are governed by their own terms and policies. We are not responsible for third-party content or practices, and a link is not an endorsement.
9. Forward-looking statements
Some statements describe plans, roadmaps or products in development. These are subject to change without notice, and we make no commitment that any future feature will be released, or will perform as described.
10. Disclaimers
To the extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including as to accuracy, completeness, availability, merchantability, fitness for a particular purpose or non-infringement. Without limiting section 4, we do not warrant that any output of the Services is accurate or complete, and you are responsible for verifying outputs before relying on them.
11. Limitation of liability
To the maximum extent permitted by law: (a) Mycoach Health is not liable for any indirect, incidental, special or consequential loss, or any loss of profits, revenue, data or goodwill, arising out of or in connection with the Services; and (b) our aggregate liability in connection with the Services is limited to the fees paid by you or your Institution for the Services in the 12 months preceding the claim or, where no fees were paid, HK$1,000. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded under Hong Kong law, including the Control of Exemption Clauses Ordinance (Cap. 71).
12. Indemnity
You agree to indemnify Mycoach Health against claims, losses and reasonable costs arising from your breach of these Terms or misuse of the Services, except to the extent caused by our own breach or negligence.
13. General
These Terms, together with the Privacy Policy and any applicable written agreement, are the entire agreement between you and us regarding the Services. If any provision is held invalid, the remainder continues in effect. A failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our written consent. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) to enforce any of them.
14. Governing law and jurisdiction
These Terms are governed by the laws of the Hong Kong Special Administrative Region, and any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the Hong Kong courts.
15. Language and contact
